Our client is a digital services provider that partners with leading companies globally. They are now looking for a Director of M&A as they are establishing themselves into the US market. 

Responsibilities:

     Key Responsibilities: 

     

    Leading mergers and acquisitions, particularly within the USA. This includes experience with due diligence, valuation, deal structuring, and negotiation. 

    Engaging with private credit markets, securing financing, and managing relationships with private equity firms and lenders. 

    Understanding of financial regulations, including GAAP, SEC filings, and compliance requirements. 

    Identifying, evaluating, and qualifying portfolios for potential acquisition and leading M&A activities end to end. 

    Identifying and mitigating financial and operational risks associated with acquisitions. 

    Overseeing bid processes (where applicable), ensuring submissions are facilitated on time, and assisting the leadership team in coordinating all internal approvals (e.g., Board) before submissions. 

    Partnering with relevant functions to carry out portfolio analyses identify synergy potential (target & and end state) and establish a realization plan. 

    Managing relationships with various stakeholders, including senior executives, investors, banks, and legal advisors. 

    Representing the company in high-stakes meetings and presentations to banks, investors, and other key stakeholders 

    Leading negotiations around terms and conditions of potential acquisitions. 

    Leading financial, commercial, and technical due diligence (incl. selection of vendors and partners). 

     

    Qualifications

    Excellent verbal and written communication skills to clearly articulate financial strategies and findings 

    – Strong analytical and problem-solving skills to navigate complex financial scenarios and identify innovative solutions. 

    – Strong negotiation skills to secure favorable terms during acquisition deals and financing arrangements. 

    – Ability to manage relationships with various stakeholders, including senior executives, investors, banks, and legal advisors. 

    – Proficiency in representing the company in high-stakes meetings and presentations to banks, investors, and other key stakeholders. 

    – High ethical standards and integrity, crucial for maintaining trust and credibility in financial dealings. 

    – Proactive approach to identifying opportunities and driving initiatives to completion. 

    – Deep understanding of financial and accounting practices, issues, policies, and procedures 

    – Understanding of the cultural nuances of doing business in the USA, which can affect negotiation and integration processes. 

    – Ability to adapt to different business environments and work effectively in cross-functional teams. 

    Comp: $150K – $2500K  DOE
